Contract negotiation

Most people accept the other side’s first draft because arguing feels expensive. It is almost always cheaper than the clause you did not challenge.

Negotiating between the parties

LegalRoad offers a bespoke contract negotiation service. It is particularly valuable where the other party is more powerful and may already have a lawyer.

We sit in on your negotiations as your right-hand adviser, substantiating your bargaining power and addressing your concerns to reach a fair and reasonable outcome. Where you would rather not be in the room at all, we take the negotiation over entirely.

The service is designed to minimise legal risk and produce a cost-effective outcome by avoiding disputes and litigation later.

Where it earns its fee

  • You have been sent a large customer’s standard terms and told they are non-negotiable
  • Liability caps, indemnities or termination rights are one-sided
  • Payment terms are long enough to hurt your cash flow
  • IP ownership or data responsibilities are unclear
  • Exclusivity, minimum volumes or auto-renewal lock you in further than you realised
  • The deal is worth enough that a single clause could outweigh the legal cost

How negotiation is costed

Our costings are based on pre-meeting briefing, attendance and advice at the meeting, and a report of the meeting. They exclude travel, disbursements and any contract drafting, which is quoted separately under our drafting service.

Ongoing negotiation work is usually more economical inside a monthly package than on an hourly basis.
